Articles of Incorporation and bylaws are both essential documents for any corporation, but they serve different purposes. Articles of incorporation provides documents officially establishing the corporation in eyes of the State.
They act as the corporation's legal birth certificate. Contents typically include the corporation's name, purpose, registered agent, and the number of shares it is authorized to issue.
The Business must file with the state government, usually with the Secretary of State.
Secondly, Bylaws are international documents that outline the rules and procedures for the corporation's operations and governance.
Contents must include details on the role and responsibilities of directors and officers, meeting certain rules and shareholder rights. Unlike the Articles of Incorporation, bylaws are not filed with the state but are kept internally within the corporation.
